AT&T, Bank of America and Coca-Cola Among New Signatories to Commonsense Principles 2.0

On October 18, 2018, the CEOs of over 21 leading public companies signed the Commonsense Corporate Governance Principles 2.0 (Commonsense Principles 2.0). The Commonsense Principles 2.0 are an update to the original Commonsense Principles, which were first signed by 13 executives in 2016. Notable updates in the Commonsense Principles 2.0 include an emphasis on the following: directors’ duties of loyalty and care; engagement on shareholder proposals; shareholder rights; anti-takeover measures; committee independence; long-term value creation; and disclosures by asset managers.
