BlackRock Announces 2019 Proxy Voting Updates

On January 17, 2019, BlackRock released its updated 2019 proxy voting guidelines for U.S. securities. Notable updates include amending its definition of “non-independent” directors, expanding its policy on board diversity to take into account both personal and professional factors, and stating that, at certain companies, it expects the whole board to demonstrate fluency in how climate risk affects the business and how management assesses, adapts to and mitigates climate risk.
